DELIVERY POLICY

This Delivery Policy (“Policy”) governs the delivery, handover, approval, and completion of website development and online store services provided by the Service Provider. This Policy forms an integral part of, and must be read together with, the Website Development & Online Store Services Agreement, its Annexures, the Terms & Conditions, the FAQ, and the Cancellation & Return Policy.

This Policy is drafted in accordance with South African commercial standards and applicable legislation, including the Electronic Communications and Transactions Act 25 of 2002 (ECTA) and, where applicable, the Consumer Protection Act 68 of 2008 (CPA).

 

1. PURPOSE OF THIS POLICY

1.1 The purpose of this Policy is to define how digital services are delivered, when delivery is deemed complete, and how acceptance occurs.

1.2 The Client acknowledges that website development constitutes a digital service and not the delivery of physical goods.

 

2. COMMENCEMENT OF DELIVERY

2.1 Delivery timelines commence only once:

Full payment has been received and cleared;

Required onboarding information has been provided by the Client.

2.2 Any delays in providing information shall automatically extend delivery timelines.

 

3. DELIVERY FORMAT

3.1 Delivery shall occur electronically and may include:

A live website link;

A staging or preview link;

Written confirmation of completion.

3.2 No physical delivery shall take place.

 

4. DELIVERY TIMELINES

4.1 All timelines provided are estimates only.

4.2 Timelines are subject to:

Client responsiveness;

Third-party platform availability;

External subscription activation;

Force majeure events.

4.3 The Service Provider shall not be liable for delays outside its reasonable control.

 

5. CLIENT RESPONSIBILITIES FOR DELIVERY

5.1 The Client shall provide all required content, branding assets, and instructions promptly.

5.2 The Client is responsible for ensuring accuracy of provided materials.

5.3 Delays caused by the Client do not constitute failure to deliver.

 

6. DESIGN LIMITATIONS & DELIVERY

6.1 The Client acknowledges that:

Front-end UI/UX designs are AI-generated and standardised;

Structural layout changes are excluded;

Customisation is limited to images and colours.

6.2 Delivery of such design constitutes full delivery of design obligations.

 

7. DELIVERY MILESTONES

7.1 Delivery may occur in stages at the Service Provider’s discretion.

7.2 Partial delivery constitutes delivery for purposes of acceptance and billing.

 

8. REVIEW PERIOD

8.1 Upon delivery, the Client shall have five (5) business days to review the Website.

8.2 Feedback must be provided in writing.

 

9. DEEMED ACCEPTANCE

9.1 If no feedback is received within the review period, the Website shall be deemed accepted.

9.2 Deemed acceptance constitutes full and final delivery.

 

10. POST-DELIVERY CHANGES

10.1 Any requests after acceptance are Change Requests.

10.2 Change Requests are billed separately and require upfront payment.

 

11. NON-RESPONSIVENESS & DELIVERY

11.1 If the Client fails to respond for seven (7) consecutive days, delivery may be paused.

11.2 If non-responsiveness continues for fourteen (14) consecutive days, the project may be deemed abandoned.

11.3 In such cases, delivery obligations are deemed fulfilled.

 

12. HOSTING & ACCESS UPON DELIVERY

12.1 Hosting may be provided as part of certain packages.

12.2 Admin, backend, and code access are not included unless agreed in writing.

12.3 Delivery does not imply transfer of hosting ownership.

 

13. THIRD-PARTY DEPENDENCIES

13.1 Delivery may rely on third-party platforms, builders, or services.

13.2 The Service Provider is not responsible for third-party delays or outages.

 

14. EXTERNAL SUBSCRIPTION FEES

14.1 Website builder and platform subscriptions are external fees.

14.2 The Client is responsible for activating and maintaining such subscriptions.

14.3 Failure to pay external fees may affect delivery.

 

15. TESTING & QUALITY ASSURANCE

15.1 Reasonable testing shall be conducted prior to delivery.

15.2 Minor defects do not prevent delivery or acceptance.

 

16. DELIVERY CONFIRMATION

16.1 Delivery may be confirmed by:

Email notification;

Live link provision;

Deemed acceptance.

 

17. NO GUARANTEE OF PERFORMANCE

17.1 Delivery does not include guarantees of traffic, sales, or rankings.

 

18. LIMITATION OF LIABILITY

18.1 Liability related to delivery is limited to the amount paid.

 

19. CPA CONSIDERATIONS

19.1 Where applicable, delivery shall be assessed in accordance with CPA reasonableness standards.

19.2 Business clients acknowledge limited CPA applicability.

 

20. POLICY UPDATES

20.1 This Policy may be updated from time to time.

 

21. GOVERNING LAW

This Policy is governed by the laws of the Republic of South Africa.

 

22. FINAL ACKNOWLEDGEMENT

By making payment, the Client confirms acceptance of this Delivery Policy in full.
